Services
JM Virtual Business Services (the "Company") provides virtual assistant, social media, e-marketing, and consulting services to clients. Details of the services offered are available on our website.
Fees and Payment
All invoices are due and payable within 7 days of the invoice date. Payment can be made via direct deposit or credit card as specified on the invoice.
​Late Payment and Interest Charges
If payment is not received by the due date, the account will be considered overdue. For any account that is overdue by 30 days or more from the invoice date, a late payment interest charge of 5% per annum will be applied to the total outstanding balance. The interest will accrue daily on the outstanding balance until the account is paid in full. The 5% interest rate reflects a genuine pre-estimate of the costs and losses incurred by the Company due to late payments, including administrative costs of following up on overdue accounts and loss of access to funds. The Company reserves the right to engage debt collection services for any outstanding amounts overdue by 60 days or more, and the customer will be liable for all reasonable costs and expenses incurred in recovering the debt.
Intellectual Property
All intellectual property rights, including copyrights, patents, trade secrets, trademarks and other proprietary rights, in and to the work product created by JM Virtual Business Services in the course of providing services shall be owned exclusively by the Company. The client agrees that all materials, programs, documents, data and other works of authorship created by the Company in the course of providing services are "works made for hire" under applicable copyright laws, with ownership vesting in the Company. Upon full payment of fees, the Company grants the client a non-exclusive, non-transferable license to use the final work product for the purposes contemplated by the services. The client may not modify, reproduce, distribute or create derivative works from the work product without prior written consent from the Company.
Confidentiality
"Confidential Information" means any information disclosed by either party to the other party, either directly or indirectly, in writing, orally or by inspection of tangible objects, which is designated as "Confidential," "Proprietary" or some similar designation. Both parties shall hold and maintain in strict confidence all Confidential Information of the other party, and shall not disclose any such Confidential Information to any third party except as approved in writing by the other party. Each party shall use the other party's Confidential Information only for the purposes of fulfilling its obligations and exercising its rights under these Terms. The obligations of confidentiality shall not apply to information which: (a) is publicly available or becomes publicly available through no improper action or inaction by the receiving party; (b) was rightfully in the receiving party's possession without restriction prior to disclosure; (c) was rightfully disclosed to the receiving party by a third party without restriction; or (d) was independently developed by the receiving party without use of or reference to the other party's Confidential Information.
Limitation of Liability
In no event shall JM Virtual Business Services, its directors, employees or agents be liable for any direct, indirect, incidental, special or consequential damages arising out of or in connection with the use of our services or this website. This includes, without limitation, damages for loss of profits, business interruption, loss of information, or any other damages resulting from the use of or inability to use our services or website. Our total liability to you for any claims arising from your use of our services or website, regardless of the cause of action, shall be limited to the total fees paid by you to JM Virtual Business Services in the 6 months preceding the claim.
​Termination
JM Virtual Business Services reserves the right to terminate or suspend your access to our services at any time, without notice, for any reason, including but not limited to breach of these terms and conditions*. Upon termination, all fees owed to JM Virtual Business Services shall become immediately due and payable. Termination shall not relieve either party of any obligation or liability that accrued prior to the termination date.

Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of the state of Victoria, Australia. Any disputes shall be resolved exclusively by the courts of Victoria.
Entire Agreement
These terms and conditions constitute the entire agreement between you and JM Virtual Business Services regarding your use of our services and website, superseding any prior agreements.
